1) Overview & Acceptance

These Purchase Terms & Conditions (the "Terms") govern purchases of products made through The Men's Shop Co. online storefront (the "Site"). By placing an order, you agree to be bound by these Terms, our Privacy Policy, and any additional policies referenced at checkout.

2) Eligibility; Personal Use

You must be at least 18 years old (or the age of majority in your jurisdiction) to purchase. Products are intended for personal, non-commercial use unless we expressly agree otherwise.

3) Product Availability, Pricing & Errors

• Availability: Items may be limited in quantity and subject to discontinuation without notice.
• Pricing: Prices are shown in U.S. dollars and may change at any time prior to checkout.
• Errors: We may cancel or refuse orders affected by typographical errors, pricing inaccuracies, or system issues. If your payment was captured, we will refund you for any canceled items.

4) Orders; Acceptance & Cancellations

• Your order is an offer to buy; we accept only when we ship the item(s) and send a shipment confirmation.
• We may refuse or cancel any order due to suspected fraud, reseller activity, inability to verify payment, or other reasonable grounds.
• To request a change or cancellation before shipment, email themensshopco@gmail.com. We cannot guarantee modifications after an order is in fulfillment.

5) Payments; Taxes

• Payment Methods: We accept major payment methods as offered at checkout. By submitting payment, you represent you are authorized to use the method and authorize us (and our payment processors) to charge the full amount, including taxes, shipping, and any handling fees.
• Sales Tax: Applicable taxes are calculated based on your shipping address and displayed at checkout.

6) Shipping, Delivery & Risk of Loss

• Options & Costs: Available carriers, shipping speeds, and costs are shown at checkout.
• Processing Time: Typical processing is 1–2 business days, excluding weekends/holidays. Peak periods may require additional time.
• Delivery Estimates: Any dates are estimates only and not guaranteed. Delays by carriers or events outside our control do not constitute a breach.
• Risk of Loss: Title and risk transfer when the carrier takes possession. If a package shows "delivered" but you did not receive it, contact the carrier and notify us for assistance.
• Address Accuracy: You are responsible for providing a correct, deliverable address. Undeliverable shipments may incur additional fees.
• International: If offered, international buyers are responsible for duties, taxes, and import fees. Customs may delay delivery.

7) Returns & Exchanges

• Window: You may request a return within 30 days of delivery.
• Condition: Items must be unused, unopened, and in original packaging. For hygiene reasons, opened personal-care products are generally not eligible for refund; if we approve an exception, a partial refund or store credit may apply.
• Non-Returnable: Final-sale items, promotional gifts, gift cards, and sample kits cannot be returned.
• Process: Email themensshopco@gmail.com with your order number and reason for return to obtain instructions and a return authorization (RMA) before sending anything back.
• Return Shipping: Unless the return is due to our error or a confirmed defect, you are responsible for return shipping costs.

8) Refunds

• Inspection: Refunds are issued to the original payment method after we receive and inspect the return. Please allow 5–10 business days after receipt for processing by your bank.
• Shipping Fees: Original shipping charges are non-refundable unless the return is due to our error or a confirmed defect.

9) Damaged, Defective, or Incorrect Items

If your order arrives damaged, defective, or incorrect, contact us within 7 days of delivery with photos and your order number. We will repair, replace, or refund at our discretion.

10) Promotions, Discount Codes & Gift Cards

• Promotional offers may be limited-time and cannot be combined unless stated.
• Discounts apply before taxes, shipping, and fees. We may cancel orders that misuse or exploit promotions.
• Gift cards are non-refundable and redeemable only for eligible products on the Site.

11) Subscriptions / Auto-Refill (if offered)

• By enrolling, you authorize recurring charges at the interval selected until you pause or cancel.
• Prices and item availability may change; we will notify you of material changes before your next charge when required.
• Manage or cancel before the next billing date to avoid additional charges.

12) Product Use, Sensitivities & Patch Testing

• Follow all labels and usage directions. Discontinue use if irritation occurs.
• For new skincare products, perform a small patch test first.
• Consult a healthcare professional about any conditions, allergies, medications, or concerns.

13) No Medical Claims

We do not provide medical advice, diagnosis, or treatment. Product statements are for cosmetic use and have not been evaluated by the FDA.

14) Limited Warranty; Disclaimer

We warrant that products will be free from material defects in materials and workmanship at shipment. EXCEPT AS EXPRESSLY PROVIDED, PRODUCTS AND THE SITE ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW.

15) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THE MEN'S SHOP CO. BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, OR DATA, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO A PURCHASE SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE PRODUCT(S) AT ISSUE.

16) Indemnification

You agree to indemnify and hold harmless The Men's Shop Co. from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from your misuse of products, violation of these Terms, or violation of any law or third-party rights.

17) Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles, and the laws of the United States as applicable.

18) Dispute Resolution; Arbitration Agreement

• Agreement to Arbitrate: Except for small-claims court or claims for injunctive relief, you and The Men's Shop Co. agree to resolve disputes arising from or relating to a purchase by binding, individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules.
• Class Waiver: Arbitration will be conducted only on an individual basis—no class, consolidated, or representative actions.
• Venue & Fees: The place of arbitration shall be Los Angeles County, California, unless you and we agree otherwise or the AAA rules provide for remote proceedings. Each party pays its own fees unless the arbitrator awards otherwise as permitted by law.
• Opt-Out: You may opt out of arbitration within 30 days of your first purchase by emailing themensshopco@gmail.com with subject line "Arbitration Opt-Out" and your full name and order number.

19) Changes to These Terms

We may update these Terms from time to time. Changes apply to purchases made after the effective date shown at the top of this page.

20) Miscellaneous

• Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
• No Waiver: Our failure to enforce a provision is not a waiver of our right to do so later.
• Entire Agreement: These Terms, together with policies referenced at checkout, constitute the entire agreement regarding your purchase.
